1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Hastings Dynamics Ltd (trading as "Rivileo"), a company registered in England and Wales (Company Number: 13958053), with registered office at 124 City Road, London, England, EC1V 2NX.

By accessing or using our platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our services.

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

2. Eligibility and Account Registration

2.1 Age Requirements

You must be at least 18 years old to create an account and use our booking services. Users aged 13-18 may browse content but require parental consent for account creation. Our services are not intended for children under 13 (or 16 in the EEA).

2.2 Account Responsibilities

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• You may not transfer or share your account with others

3. Description of Services

Rivileo is a travel discovery and booking platform that combines:

• Social Discovery: Share travel experiences, create posts, follow travelers, and discover destinations
• Trip Planning: Create itineraries, save destinations, and collaborate on travel plans
• Booking Services: Facilitate bookings with accommodation providers and travel partners
• Content Aggregation: Curated travel information from OpenStreetMap, Wikipedia, Wikivoyage, Google Maps, and user contributions

4. Commission-Based Business Model

4.1 Our Role

We operate as an intermediary platform connecting travelers with accommodation providers and travel services. We do not own, operate, or control the properties or services listed on our platform.

4.2 Commission Structure

We earn commission from our business partners (accommodation providers, tour operators, etc.) when you complete a booking through our platform. This commission is paid by the service provider, not by you as the user.

Our commission does not increase the price you pay. Prices displayed on our platform are set by the service providers.

4.3 No Direct Payment Handling

We do not directly handle or process your payment information. All payments are processed securely by third-party payment processors (such as Stripe) who are PCI-DSS compliant.

5. Bookings and Transactions

5.1 Booking Process

When you make a booking through our platform:

• You enter into a direct contract with the service provider, not with Rivileo
• You agree to the service provider's terms, conditions, and cancellation policies
• We facilitate the booking and receive a commission from the provider
• Payment is processed by our third-party payment processor

5.2 Pricing and Availability

All prices are set by service providers and are subject to change without notice. We strive to display accurate pricing, but errors may occur. We reserve the right to cancel bookings made at incorrect prices.

5.3 Cancellations and Refunds

Cancellation and refund policies are determined by the service provider. Please review their policies carefully before booking. We may assist with cancellation requests but cannot guarantee refunds.

6. User Content and Conduct

6.1 User-Generated Content

You may post content including reviews, photos, comments, and trip plans. By posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content on our platform.

You retain ownership of your content and may delete it at any time.

6.2 Content Standards

You agree that your content will:

• Be accurate, honest, and not misleading
• Not infringe on intellectual property rights of others
• Not contain offensive, discriminatory, or illegal material
• Not contain spam, advertising, or promotional content (unless authorized)
• Comply with our Acceptable Use Policy

6.3 Content Moderation

We reserve the right to remove, edit, or refuse to publish any content that violates these Terms or is otherwise objectionable. We are not obligated to monitor all user content but may do so.

7. Intellectual Property Rights

7.1 Our Proprietary Content

The Rivileo platform, including its software, design, logos, and original content, is owned by Hastings Dynamics Ltd and protected by copyright, trademark, and other intellectual property laws.

7.2 Third-Party Content

Content from OpenStreetMap, Wikipedia, and Wikivoyage is used under their respective open licenses (ODbL, CC BY-SA). Google Maps content is used under license from Google.

7.3 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our platform for personal, non-commercial purposes. You may not copy, modify, distribute, or create derivative works without our written permission.

8. Prohibited Activities

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Post false, misleading, or fraudulent content
• Harass, threaten, or abuse other users
• Attempt to gain unauthorized access to our systems
• Use automated tools (bots, scrapers) without permission
• Interfere with the proper functioning of our platform
• Impersonate others or misrepresent your affiliation
• Collect personal information of other users
• Use our platform for commercial purposes without authorization

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

Our platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 Third-Party Services

We are not responsible for the quality, safety, or legality of services provided by third-party accommodation providers or travel partners. We do not guarantee the accuracy of third-party content.

9.3 Limitation of Liability

To the maximum extent permitted by law, Hastings Dynamics Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of our platform.

Our total liability to you for any claims arising from these Terms or your use of our services shall not exceed the amount you paid to us in the 12 months preceding the claim, or £100, whichever is greater.

9.4 Statutory Rights

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law. You may have statutory rights as a consumer that cannot be excluded.

10. Indemnification

You agree to indemnify and hold harmless Hastings Dynamics Ltd, its directors, officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any rights of another party
• Your use of our platform
• Your content posted on our platform

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us at hello@support.rivileo.com or using the account deletion feature in your settings.

11.2 Termination by Us

We may suspend or terminate your account immediately, without notice, if you violate these Terms or engage in conduct that we deem harmful to our platform, other users, or our business interests.

11.3 Effect of Termination

Upon termination, your right to use our platform will cease immediately. We may delete your account data in accordance with our Privacy Policy and data retention obligations.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.

12.2 Jurisdiction

Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12.3 Consumer Rights

If you are a consumer resident in the EU, you may also have the right to bring proceedings in the courts of your country of residence.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or prominent notice on our platform at least 30 days before the changes take effect.

Your continued use of our platform after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using our services.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and Hastings Dynamics Ltd.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to any affiliate or successor.
